Non-Custodial Architecture • Absolute Limitation of Liability
Vance & Calder Advisory Group LLC operates under a strict Non-Custodial zero-storage protocol. This document establishes the governing liability protections regarding client data, coding accuracy, and system interactions.
1. Zero Data Custody & Absence of Storage Liability
Vance & Calder Advisory Group LLC ("V&C") does NOT act as a data repository, clearinghouse host, cloud backup facility, or master Electronic Health Record (EHR) archive. All encounter notes, clinical documentation, and operational data evaluated within Clinical Coder Pro™ execute strictly inside the client workstation's local temporary volatile memory (RAM). V&C maintains no persistent patient database. The client practice retains exclusive, sole, and non-delegable custody, maintenance, and backup responsibility for all primary medical, administrative, and financial records. Under no legal theory shall V&C be liable for lost, corrupted, deleted, or unrecovered client data.
2. Provider Final Review & Non-Delegable Billing Duty
All ICD-10-CM, CPT, and HCPCS code suggestions, modifier pairings, and E/M complexity determinations generated by V&C systems are provided strictly as augmented decision-support intelligence. The licensed healthcare provider and practice billing administrator maintain sole, independent, and non-delegable statutory responsibility for verifying the clinical accuracy of all diagnostic codes, procedural charges, and medical necessity prior to payor submission. V&C does not practice medicine and assumes no liability for third-party claim denials, payor recoupments, post-payment audits, or downcoding disputes.
3. Comprehensive Limitation of Liability & Hold Harmless
To the maximum extent permitted by law, in no event shall Vance & Calder Advisory Group LLC, its principals, officers, employees, or contracted affiliates be liable for any indirect, incidental, special, exemplary, or consequential damages (including but not limited to lost practice revenues, interruption of cash flow, clearinghouse downtime, third-party cyber incidents, or regulatory fines) arising out of or related to the use of V&C systems. V&C's total cumulative liability under any legal theory shall not exceed the total fees paid by the client to V&C during the three (3) months immediately preceding the claim.
4. Idaho LLC Corporate Insulation
All contracts, software licenses, and advisory deliverables are executed solely by Vance & Calder Advisory Group LLC, an Idaho limited liability company. Pursuant to Idaho Code § 30-25-304, all corporate liabilities, obligations, and debts reside exclusively with the entity; no personal liability attaches to any member, principal, manager, or agent of the company.
